TERMS OF SERVICE

1. Agreement

These Terms of Service ("Terms") form a binding legal agreement between you ("User", "you") and Huntr ("Huntr", "we", "us", "our"), the operator of the Huntr API and website at tryhuntr.com. By creating an account, obtaining an API key, or using any Huntr service, you confirm that you have read, understood, and agree to these Terms in full.

If you do not agree, you must immediately stop using the Service and delete your API key. Use of the Service by minors or persons without legal capacity to contract is prohibited.

2. Description of Service

Huntr provides an AI-powered web research API ("Service") that accepts natural-language prompts and returns synthesized results by orchestrating calls to third-party search engines, scraping tools, enrichment providers, and large language models (LLMs). The Service is provided on a credit-based, pay-as-you-go basis.

Huntr is a developer utility. Outputs are generated by automated AI systems and third-party data sources. They are not verified, endorsed, or guaranteed by Huntr.

3. Eligibility and Account Registration

You must provide a valid email address to obtain an API key. You are responsible for maintaining the confidentiality of your API key. You must immediately notify us if you suspect unauthorized use of your key. We are not liable for any loss resulting from unauthorized use of your credentials.

You represent that all information you provide is accurate and that you are legally authorized to use the Service on behalf of yourself or any organization you represent.

4. Acceptable Use

You may use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Service to collect, process, or sell personal data in violation of applicable data protection laws, including GDPR, CCPA, or any equivalent legislation.
• Use the Service to send unsolicited commercial communications (spam) or to build lists for the purpose of harassment or abuse.
• Scrape, harvest, or extract data from any website in violation of that website's terms of service or robots.txt, or in a manner that constitutes unauthorized computer access under applicable law.
• Use the Service to generate, distribute, or facilitate disinformation, fraudulent content, or deceptive impersonation.
• Reverse-engineer, decompile, or attempt to extract source code or trade secrets from the Service.
• Resell or sublicense API access without our prior written consent.
• Attempt to circumvent rate limits, billing controls, or any technical restriction.
• Use the Service in any way that could damage, disable, overburden, or impair our infrastructure or third-party services we depend on.

We reserve the right to suspend or terminate access immediately and without notice for any violation of this section.

5. Credits, Payments, and Refunds

The Service operates on a prepaid credit system. Credits are purchased through Stripe and stored in your account balance. Prices and tier definitions are published at tryhuntr.com/#pricing and may be updated with notice.

• Credits are non-refundable except where required by applicable consumer protection law.
• Credits have no monetary value and cannot be transferred, gifted, or exchanged.
• Huntr may issue promotional credits at its sole discretion. Promotional credits expire 90 days from issuance and are non-refundable.
• If we terminate your account for cause, unused credits are forfeited.
• We reserve the right to adjust pricing at any time. Existing purchased credits are honored at the price in effect at the time of deduction.

All payments are processed by Stripe. By making a purchase, you agree to Stripe's terms of service. Huntr does not store payment card information.

6. AI Output Disclaimer

Research results do not constitute legal, financial, medical, professional, or any other form of regulated advice. Do not rely on them as a substitute for qualified professional judgment.

Huntr is not responsible for decisions you make, or losses you incur, based on the Service's outputs.

7. Third-Party Services and Data Sources

The Service relies on third-party providers including, without limitation: OpenAI, Anthropic, Google, Serper.dev, Firecrawl, Icypeas, Cloudflare, Unkey, and LinkdAPI. Huntr does not control these providers and is not responsible for their availability, accuracy, or compliance.

By using the Service you acknowledge that:

• Third-party data may be subject to its own terms of use, and you are responsible for ensuring your use of such data complies with those terms.
• Huntr may pass your research prompts to LLM providers for processing. You should not submit sensitive, confidential, or personal information in prompts.
• Third-party service outages may degrade or interrupt the Service without any liability to Huntr.

8. Intellectual Property

All rights in the Huntr platform, software, branding, and documentation are owned by or licensed to Huntr. Nothing in these Terms grants you any right to use Huntr's trademarks, logos, or proprietary materials.

You retain ownership of the research prompts you submit. By submitting a prompt, you grant Huntr a non-exclusive, royalty-free license to process it solely to provide the Service to you. We do not use your prompts to train our own AI models.

AI-generated outputs are provided for your use. You are responsible for ensuring your use of any output respects third-party intellectual property rights.

9. Disclaimer of Warranties

10. Limitation of Liability

Some jurisdictions do not allow the exclusion of certain warranties or limitation of certain damages. To the extent such laws apply, the above exclusions and limitations will apply to the fullest extent permitted by law.

11. Indemnification

You agree to defend, indemnify, and hold harmless Huntr and its operators, affiliates, officers, employees, and agents from and against any and all claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of the Service;
• Your violation of these Terms;
• Your violation of any applicable law, regulation, or third-party right, including any privacy or data protection law;
• Any content or data you submit through the Service;
• Any use of research outputs you generate, including decisions made based on those outputs.

12. Service Availability and Modifications

Huntr does not guarantee any specific level of uptime or availability. We may modify, suspend, or discontinue the Service (or any feature thereof) at any time, with or without notice, and without liability to you.

We reserve the right to modify these Terms at any time. Continued use of the Service after changes are posted constitutes acceptance of the revised Terms. We will endeavor to notify users of material changes via email.

13. Termination

Either party may terminate the agreement at any time. You may stop using the Service and request deletion of your account at any time by contacting us. We may suspend or terminate your access immediately for any violation of these Terms, suspected abuse, or fraudulent activity.

Upon termination, Sections 6, 9, 10, 11, and 14 survive.

14. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of the jurisdiction in which Huntr operates, without regard to conflict of law principles. Any dispute arising from or related to these Terms shall be resolved through binding arbitration, except that either party may seek injunctive or equitable relief in a court of competent jurisdiction.

To the extent arbitration is not permitted under applicable law, disputes shall be resolved exclusively in the courts of the applicable jurisdiction. You waive any right to participate in a class action lawsuit or class-wide arbitration.

15. Miscellaneous

Entire Agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and Huntr regarding the Service and supersede all prior agreements.

Severability. If any provision is found unenforceable, it will be modified to the minimum extent necessary, and the remaining provisions will remain in full force.

No Waiver. Failure to enforce any provision of these Terms does not constitute a waiver of our right to enforce it in the future.

Assignment. You may not assign your rights under these Terms. Huntr may assign these Terms without restriction.
